Orca and Loopscale Merge to Form Onchain Capital Platform Formation
Orca and Loopscale have merged as Formation, combining Solana trading liquidity with credit and vault infrastructure while keeping both protocols operating.
Orca and Loopscale have merged under the Formation name, combining trading, liquidity, credit and vault infrastructure while keeping both existing protocols and user positions operating.
Orca and Loopscale announced on October 7 that they have merged to create Formation, a New York-based company designed to connect onchain trading, credit and capital allocation. Loopscale co-founder Luke Truitt will serve as chief executive, with Mary Gooneratne as chief operating officer and Orca executive Christopher Montagano leading strategy and legal work.
The combination joins Orca’s Solana trading and liquidity infrastructure with Loopscale’s lending and vault products. Both protocols will continue operating, and the companies say existing positions, loans and vault deposits are unaffected. Readers can track related protocol developments through the OrangeX.com news hub.
What Formation combines
Formation is intended to give asset issuers one route from issuance to trading liquidity, credit and distribution. Orca says its protocol has processed more than $500 billion in trading volume since 2021. Loopscale reports more than $150 million in deposits and over $2 billion in loans facilitated.
The ORCA and xORCA token network will continue to rely on the Orca and Loopscale protocols. The merger announcement does not introduce a new public token or require users to migrate existing positions. The OrangeX.com Academy provides background on how decentralized trading, lending and vault strategies differ.
Leadership and product roadmap
Formation says it is already working with Figure, Shinhan Asset Management, Superstate, R3 and Securitize on bringing assets to market and expanding distribution. Over the next 12 months, the company plans new issuer tools and capital-allocation strategies alongside its existing trading, lending and vault offerings.
Those products are forward-looking and remain subject to legal, regulatory and technical requirements. The announcement says the company is pursuing a path into regulated U.S. capital markets, but it does not give a launch date for a regulated venue.
Deal terms and governance remain separate questions
Financial terms were not disclosed. An official Orca governance update says the specific deal terms remain confidential under the definitive agreement. It also rescheduled a separate tokenholder proposal: voting is planned for October 11–16, followed by a two-day cooling-off period. That proposal concerns protocol fees, governance and treasury resources rather than changing user balances through the merger itself.
Users should continue to verify contract addresses and official interfaces before interacting with either protocol. The OrangeX.com Trust Center offers additional guidance on wallet and account security.
OrangeX.com Analysis
The merger reflects a broader effort to combine fragmented onchain services. Liquidity can help an asset trade, while lending and managed vaults can add financing and allocation tools. Housing those functions under one team may simplify integrations for issuers, but the commercial benefit depends on execution, risk controls and real demand for new tokenized assets.
Confirmed facts include the Formation name, the leadership team, continued operation of both protocols and the stated activity figures. The purchase price, ownership split and detailed product timetable remain undisclosed. Planned expansion into regulated markets and frontier-economy financing should therefore be treated as strategy rather than completed delivery.
