Metaplanet reduced the shares available through future exercises of its Series 10 stock options from 236.64 million to 105.366 million, according to its September 11, 2026 filing. The amendment took effect that day.

The wider pool, including shares already delivered, falls 41.1% to 188.19 million. Each option right now represents 410 shares instead of 696. The company said 82.824 million shares issued through earlier exercises would remain outstanding; the adjustment reduces the holders’ future entitlements.

Rights that vested in February remain exercisable. Unvested rights are split into thirds, becoming exercisable on August 18 in 2029, 2030 and 2031. The ¥10-per-share exercise price and sale lock-up through August 17, 2031 remain unchanged.

Metaplanet also withdrew its planned transfer of existing rights into an employee incentive vehicle. It will consider a separate compensation scheme with external advisers. The Block reported the changes on September 11, placing them in the context of shareholder criticism over dilution.

Market Analysis

The change gives shareholders a smaller remaining pool of potential new shares and a longer timetable for unvested options. Exercise eligibility and permission to sell are separate: vested rights can still be exercised, while the existing sale restrictions continue. For a bitcoin treasury company, both the share count and its timing matter when assessing the bitcoin exposure represented by each share.
