Strive Proposes $500M SATS Preferred Stock Offering for Bitcoin Strategy
Strive plans a 5 million-share SATS perpetual preferred offering with a 15% annual dividend rate and potential use of proceeds for bitcoin purchases.
Strive has proposed an initial public offering of 5 million shares of a new perpetual preferred stock called SATS. Each share has a $100 stated amount and accumulates cumulative dividends at a 15% annual rate, implying a $500 million stated-value offering before underwriting costs if all shares are sold at that amount. The filing says proceeds may support bitcoin and bitcoin-related purchases, but the company also retains broad discretion to fund working capital, income-producing assets, capital spending, buybacks and complementary acquisitions. Investors can follow the underlying asset through the verified BTC/USDT spot market on OrangeX.com, while remembering that SATS is a corporate security rather than bitcoin itself.
What the SATS terms actually say
SATS is designed as perpetual preferred equity, so it has no stated maturity date. Dividends accumulate at 15% a year on the $100 stated amount and are payable only when declared by Strive's board and when funds are legally available. Regular payment dates are scheduled for each business day beginning November 9, 2026. At closing, Strive intends to fund an 18-month dividend reserve equal to $22.50 per offered share using cash and securities.
The preliminary prospectus remains subject to completion and market conditions. SATS would rank ahead of common stock for dividends and liquidation distributions, but behind Strive's existing SATA preferred stock and any future debt. The company has applied for a Nasdaq listing under the SATS ticker, yet no public market currently exists and approval is not guaranteed.
Bitcoin exposure comes with financing risk
The same day's regulatory filing shows Strive bought 3,311 BTC between October 5 and October 9 at an average price of about $84,500 including fees, lifting holdings to 32,773 BTC. Cash and cash equivalents stood at $310.3 million on October 9. These figures show why the capital structure matters: a fixed preferred dividend obligation must be supported even when bitcoin is volatile and produces no operating cash flow.
Leveraged traders using BTC perpetual contracts on OrangeX.com face separate funding and liquidation risks. Operational security resources are available through the OrangeX.com Trust Center, while ongoing corporate-treasury coverage appears in OrangeX.com Crypto News.
OrangeX.com Analysis
SATS could give Strive a large new source of long-duration capital, but the headline 15% rate is also a visible cost. The offering is proposed, not completed; pricing, settlement, listing approval and final proceeds remain unconfirmed. The most useful indicators are the final prospectus, the number of shares actually sold, the funded dividend reserve and subsequent disclosures showing how proceeds are allocated. Bitcoin appreciation could strengthen the strategy, while a prolonged decline could widen the gap between preferred-payment commitments and cash generated by the underlying assets.
