Winklevoss Files for Nasdaq-Listed Zcash ETF With 0.25% Fee
A new S-1 seeks to list the Winklevoss Zcash ETF on Nasdaq under WINK, holding ZEC directly with a 0.25% annual sponsor fee.
Winklevoss Asset Services filed an S-1 for a Nasdaq-listed Zcash ETF that would hold ZEC directly, charge a 0.25% annual sponsor fee and trade under WINK if approved.
Winklevoss Asset Services filed a Form S-1 on October 6 for an exchange-traded product designed to hold Zcash (ZEC) directly. The preliminary prospectus says the shares are expected to trade on Nasdaq under the ticker WINK and would charge an annual sponsor fee of 0.25% of the trust’s ZEC holdings.
The filing expands the range of proposed single-asset crypto products beyond the largest tokens, but it is not an approval or a launch notice. The registration statement has not yet become effective, and the trust cannot sell shares until that process is complete. Readers can monitor related developments through the OrangeX.com news hub.
What the proposed ETF would hold
The trust’s objective is to provide exposure to the price of ZEC, less operating expenses and other liabilities. It would hold ZEC rather than derivatives and calculate net asset value on each business day using a pricing benchmark that remains blank in the preliminary filing.
The structure is passive. The prospectus says the trust would not use leverage, lend or pledge its assets, or seek returns beyond tracking the price of ZEC. Creation and redemption orders would be handled in large baskets through authorised participants, with cash or ZEC moving through the trust’s service providers.
Fee, ticker and proposed backing
The proposed annual sponsor fee is 0.25%. The filing also says Winklevoss Capital Fund, through one or more affiliates, indicated an interest in buying up to $100 million of shares. That expression is explicitly non-binding, so it should not be treated as committed capital or current assets under management.
The ticker WINK is reserved for the proposed Nasdaq listing, subject to notice of issuance and the other steps required before trading. The OrangeX.com Academy provides background on how spot crypto products differ from direct token ownership.
What must happen before trading can begin
The S-1 is a preliminary registration statement. It still contains blank fields for the benchmark provider, basket size and several service providers. Amendments may therefore change operational details before the document becomes effective.
The filing also does not mean regulators have endorsed ZEC or the investment. The prospectus states that the shares are speculative, investors could lose their entire investment, and the trust is not registered under the Investment Company Act of 1940. Any launch would also depend on the applicable exchange-listing process and completed disclosures.
Privacy features create a distinct risk profile
Zcash supports both transparent and shielded transactions. The filing presents privacy technology as a defining feature, while also warning that it may create legal, compliance, liquidity and service-provider risks that differ from those of transparent blockchains.
For investors, the important distinction is that the product would offer brokerage-account exposure to ZEC’s price; it would not provide control of coins or direct use of Zcash’s privacy features. The OrangeX.com Trust Center offers related guidance on custody and account security.
OrangeX.com Analysis
The filing shows that issuers are testing demand for narrower crypto exposures, including assets whose technology and regulatory profile require more specialised disclosure. The 0.25% fee and the stated interest of up to $100 million could support a competitive launch, but neither guarantees approval, liquidity or investor demand.
The confirmed facts are the October 6 S-1 filing, the proposed WINK ticker, direct ZEC holdings and the 0.25% sponsor fee. Approval timing, the final benchmark, initial assets and a trading date remain unresolved. Those items should be treated as pending until the filing is declared effective and Nasdaq confirms the listing.
